1 Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Winterfield Intelligence (“Company”, “we”, “us”, or “our”) concerning your access to and use of the mobile application UPI Split Pay (Package ID: com.winterfieldintelligence.upisplitpay).

By downloading, installing, or using UPI Split Pay, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the app and must uninstall it immediately.

2 License Grant

Subject to your compliance with these Terms, Winterfield Intelligence grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use UPI Split Pay for your personal or internal business payment-collection purposes on Android devices that you own or control.

3 No Accounts

UPI Split Pay requires no registration or sign-in.

• You do not need to create a username or password to access any feature.
• You are solely responsible for maintaining the physical security of your device and managing the app's local storage.

4 How Payments Work — Important Disclaimer

UPI Split Pay is a QR-code generation utility only. It splits an amount into UPI payment links/QR codes and displays them; it does not move money, hold funds, operate accounts, or settle transactions.

• Actual transfers are executed solely by the third-party UPI app and banks you use, under their terms and the NPCI/bank rules. Always verify receipt in your bank statement or UPI app.
• The Pending/Paid marks in the app are your own manual records — they are not confirmations of settlement.
• You are responsible for entering a correct UPI ID and verifying amounts before customers pay. We are not liable for payments sent to a mistyped UPI ID.

5 Acceptable Use

You may not use UPI Split Pay for any purpose other than that for which we make the application available. As a user, you agree not to:

• Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the application source code or assets.
• Bypass, disable, or circumvent any security features or access controls embedded within the app.
• Use the app for fraud, money laundering, or any unlawful purpose, or to collect payments you are not entitled to.
• Distribute, lease, rent, sublicense, or sell the app package without explicit written consent from Winterfield Intelligence.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices displayed in the app.

6 Intellectual Property

All rights, titles, and interests in and to UPI Split Pay — including but not limited to source code, splitting logic, visual interface, brand names, icon, and logos — are owned by or licensed to Winterfield Intelligence.

The app icon artwork was AI-generated and processed for use in the app; all rights in the compiled assets belong exclusively to Winterfield Intelligence. Nothing in these Terms transfers ownership to you.

7 Disclaimer of Warranties

UPI SPLIT PAY IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WINTERFIELD INTELLIGENCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WINTERFIELD INTELLIGENCE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOST PAYMENTS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) UPI SPLIT PAY.

9 Google Play Store Compliance

These Terms supplement and incorporate by reference the Google Play Terms of Service. In the event of a conflict between these Terms and the Google Play Developer Program Policies, the Google Play Developer Program Policies shall take precedence.

10 Modifications to Terms

We reserve the right to modify or replace these Terms at any time in our sole discretion. Any changes will be posted on this page with an updated “Effective Date”. Your continued use of UPI Split Pay following the posting of any changes constitutes acceptance of those changes.

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles, since UPI payments operate within India.
